Alimentation Couche-Tard Inc. (TSX: ATD) reported adjusted net earnings attributable to shareholders of approximately $827 million for its fiscal first quarter ended July 19, 2026, a 12.2% increase from $737 million in the year-earlier period. Adjusted diluted earnings per share rose 15.4% to $0.90 from $0.78. Reported net earnings reached $828.5 million, up 5.9% from $782.5 million, with diluted EPS of $0.90 versus $0.82 a year ago. Total revenues surged 25.1% to $21.7 billion, driven primarily by higher road transportation fuel selling prices and acquisition contributions.

Total merchandise and service revenues — the metric most closely watched by convenience-retail analysts as a proxy for in-store health — reached $4.9 billion, a 4.1% gain. Consolidated same-store merchandise revenues grew 1.6%, marking the fifth consecutive quarter of positive comps in the United States, where the figure rose 1.7%. Energy drinks and alternative nicotine products were the primary traffic drivers in that market. Europe and other regions posted 1.2% same-store merchandise growth, while Canada was flat as packaged-beverage gains were offset by tobacco regulatory headwinds. Adjusted EBITDA rose $169.3 million, or 10.5%, to $1.78 billion.

Fuel Margin Strength

Road transportation fuel gross profit climbed 15.1% to $1.84 billion, the segment's most significant contribution to profit growth this quarter. The U.S. fuel gross margin expanded sharply to 52.61 cents per gallon — an increase of 8.61 cents from the year-ago period — reflecting advantageous supply conditions and what management characterised as strong execution across the network. Canada's margin improved to CA 16.79 cents per litre, up CA 2.58 cents. Europe and other regions held near-flat at US 11.34 cents per litre, fractionally below the prior-year 11.41 cents, with structural changes in the German market cited as a headwind. Same-store fuel volumes fell 1.6% in the U.S. and 4.3% in Europe as elevated retail prices curbed demand, while Canada grew 1.1%. Merchandise and service gross margin contracted modestly in both the U.S. (to 34.1%, down 0.5 percentage points) and Canada (to 33.3%, down 0.6 points), as deliberate pricing decisions designed to protect customer value weighed on the rate; Europe improved 0.7 points to 39.6%.

Operating expenses grew 7.4% in reported terms but only 2.7% on a normalised basis — below the inflation rate across the company's network — as the operator continued cost discipline while simultaneously investing in foodservice programme acceleration and digital customer engagement. The leverage ratio improved to 1.77 times from 1.99 times at the prior fiscal year-end, reflecting strong cash generation and the May 2026 repayment of €750 million ($876.5 million) in senior unsecured notes.

Żabka Deal and Outlook

The quarter's headline strategic development arrived after the period closed: on July 31, 2026, Couche-Tard announced a voluntary tender offer through its wholly owned Circle K Polska subsidiary for all shares of Żabka Group, Poland's largest convenience retailer, at a total offer value of approximately PLN 32.6 billion ($8.6 billion). Żabka operates more than 13,000 stores across Poland and Romania under an entrepreneurial franchise model. Shareholders representing approximately 57% of outstanding shares have entered irrevocable agreements to tender. The deal is expected to close before the end of fiscal 2027, subject to regulatory approvals, and would be funded through available cash and credit facilities. Currency derivatives have been entered into to manage zloty and euro settlement exposure.

Chief Financial Officer Filipe Da Silva framed the quarter's balance as deliberate, pointing to adjusted EBITDA growth of 10.5% and adjusted diluted EPS growth of 15.4% achieved while normalised expense growth remained below inflation. The combination of organic momentum in food and beverage categories — a focus area tracked closely by Food & Beverage Magazine — and the pending scale expansion into Central and Eastern Europe positions the operator for what management projects as sustainable long-term earnings growth. The board declared a quarterly dividend of CA 21.5 cents per share, payable September 25, 2026, to shareholders of record as at September 11. The company's total network stood at 17,220 sites, including licensed locations, as of quarter-end, with 42 stores under construction. For operators tracking convenience-retail M&A trends and global foodservice expansion, the Żabka transaction represents one of the largest convenience-sector deals in European history.
