All 16 director nominees put forward by Alimentation Couche-Tard Inc. (TSX: ATD) were re-elected at the convenience and fuel-retail giant's annual meeting of shareholders on Sept. 2, 2026, with approval margins ranging from 79.9% to 99.7% of votes cast.

Vote Spread

The overwhelming majority of candidates cleared the 90% threshold with ease. Marie Josée Lamothe received the highest shareholder backing at 99.7%, followed closely by Stephen J. Harper at 99.7% and Louis Vachon at 99.4%. The outlier was Jean Bernier, whose election drew 149.9 million withheld votes — equivalent to 20.0% of ballots cast — the largest dissent in the slate. Louis Têtu also attracted notable opposition, with 10.7% of votes withheld. Under Canadian majority-voting policies applicable to TSX-listed issuers, a nominee receiving more withheld than favourable votes would be required to tender a resignation to the board; neither Bernier nor Têtu crossed that threshold.

Board Composition

Founder Alain Bouchard retained his seat with 96.7% support, consistent with his longstanding role in the company he built from a single Quebec convenience store into one of the world's largest c-store operators. The board now seated spans executives, independent directors, and former public officials, including former Canadian Prime Minister Stephen J. Harper, who garnered 99.7% approval. The breadth of the slate reflects Couche-Tard's scale: the Laval, Quebec-headquartered company operates more than 17,200 stores across 27 countries and territories under its Couche-Tard and Circle K banners, employing approximately 145,000 people globally.

Governance Context

For a convenience-store and foodservice operator of Couche-Tard's reach — its North American network alone anchors a significant share of grab-and-go food and packaged beverage sales — board stability carries direct operational significance. The company's stores generate substantial impulse-purchase revenue across fresh food, hot beverages, and packaged goods categories, making governance continuity a watchpoint for suppliers and foodservice distribution partners alike. Institutional investors tracking convenience-retail consolidation have closely monitored Couche-Tard's board composition since its unsuccessful approach to acquire Seven & i Holdings in 2024 and 2025, a deal that would have created the world's largest convenience-store network. With that transaction off the table, the seated board will steer the company's next strategic phase, including potential bolt-on acquisitions and its ongoing fuel-to-food format evolution across Europe and North America.
