Peugeot Invest and Continental Grain Company (Conti) will take minority stakes in Mérieux NutriSciences, the Chicago- and Lyon-based food testing and certification group, to help finance its previously announced acquisition of Certified Group — a transaction the company says will reinforce its position as a top-tier player in a North American outsourced food testing, inspection, and certification (TIC) market estimated at more than $2.5 billion.
The two investors join existing long-term shareholders Sofina and Dassault Group on the cap table. Both Peugeot Invest and Conti will receive board representation upon closing of the Certified Group transaction, which remains subject to customary regulatory approvals.
The Certified Group Deal
Certified Group brings approximately $300 million in annual revenue and a network of 31 laboratories across North America. For Mérieux NutriSciences — which already operates more than 140 accredited laboratories and employs more than 10,000 people globally — the acquisition materially expands its domestic laboratory density and adds capabilities in animal protein, dairy, and packaged foods testing. The deal also extends the company's reach into adjacent regulated categories including cosmetics, health supplements, over-the-counter drugs, and reduced-harm nicotine products, sectors where third-party testing demand has grown as regulatory scrutiny has intensified.
