Vital Farms (Nasdaq: VITL), the leading U.S. pasture-raised egg brand by retail dollar sales, has closed a $125 million term loan arranged and funded entirely by Silver Point Capital, the Greenwich, Connecticut-based credit firm that will also serve as sole administrative agent on the facility.

The Structure

The term loan was arranged alongside a separate asset-based revolving credit facility to be provided by J.P. Morgan. The two instruments together are designed to give Vital Farms enhanced liquidity headroom as the Certified B Corporation continues to scale its supply network and foodservice penetration. Neither the size of the J.P. Morgan revolver nor the pricing or maturity of the Silver Point term loan were disclosed.

Why It Matters

Vital Farms has grown from a single Austin, Texas farm in 2007 into a national brand that contracts with more than 625 small farms and sells shell eggs, hard-boiled eggs, and liquid whole eggs across more than 24,000 retail locations. Its pasture-raised eggs also appear on menus at hundreds of foodservice operators nationwide — a channel that has become an increasingly important growth vector for premium egg brands as chefs and institutional buyers respond to consumer demand for welfare-certified proteins. The capital infusion signals that institutional credit markets remain receptive to food companies with differentiated positioning, even as broader consumer spending on premium grocery items faces pressure from persistent cost-of-living headwinds.

For Silver Point, the deal is an extension of a direct-lending mandate that already manages more than $18 billion in investable assets within the firm's broader $50 billion credit platform. Anthony DiNello, Head of Direct Lending at Silver Point Capital, said the firm viewed Vital Farms as a company at an inflection point. "Silver Point is pleased to provide a customized capital solution that we believe enhances Vital Farms' financial flexibility and helps unlock the company's next phase of growth," DiNello said.

Growth Context

The pasture-raised egg category has outperformed the conventional shell-egg segment for several consecutive years as retailers allocate more shelf space to welfare-certified and specialty egg brands. Vital Farms holds a dominant position in that niche, but competition has intensified as regional producers gain distribution and private-label operators introduce pasture-raised SKUs. Additional balance-sheet flexibility could support investments in cold-chain logistics, farmer network expansion, or further penetration of the foodservice channel — all areas where scale confers meaningful competitive advantage in the egg and dairy supply chain.

The financing also reflects a broader trend in food and beverage direct lending, where alternative credit providers have stepped into roles historically held by traditional banks, offering bespoke structures to growth-stage or mid-market branded food companies that may require more flexible covenant packages than syndicated markets typically provide. Silver Point's decision to act as sole lender — rather than syndicate the paper — underscores the firm's conviction in Vital Farms' credit profile and growth trajectory.
