The Appointment

PepsiCo, the $94 billion-revenue convenient foods and beverage conglomerate (NASDAQ: PEP), has elected Joaquin Duato as an independent director, effective December 1, 2026. Duato, 64, will serve on the Audit Committee. He joins a board overseeing a portfolio that spans Lay's, Gatorade, Pepsi-Cola, Quaker, and SodaStream, among dozens of brands each generating more than $1 billion in estimated annual retail sales.

Why Duato

Duato has served as Chairman and Chief Executive Officer of Johnson & Johnson since 2023 and 2022, respectively, after a career at the healthcare group spanning more than three decades. He previously led J&J's worldwide pharmaceuticals division from 2011 to 2018 and served as Vice Chairman of the Executive Committee through 2021 — a track record in managing complex, highly regulated global businesses across multiple geographies and product categories. PepsiCo Chairman and CEO Ramon Laguarta cited Duato's experience with "strategic transformation, portfolio optimization and innovation" as directly relevant to PepsiCo's own ongoing portfolio evolution and growth investment priorities.

Robert C. Pohlad, Chair of PepsiCo's Nominating and Corporate Governance Committee, pointed specifically to Duato's background in research-based innovation, risk oversight, and operational resilience — competencies that carry weight as PepsiCo navigates shifting consumer trends in better-for-you snacking and functional beverages, category pressures from private-label competitors, and the continuing integration of its SodaStream and Siete Foods acquisitions.

Board Context

The election reflects a broader pattern among large food and beverage multinationals of recruiting directors with cross-industry regulated-market experience to complement traditional consumer-goods expertise. For PepsiCo specifically, the addition of a sitting Fortune 500 CEO deepens the board's capacity to scrutinize management's capital allocation decisions at a moment when the company is actively repositioning its snack and beverage mix toward higher-margin, faster-growing segments. PepsiCo generated nearly $94 billion in net revenue in 2025, serving consumers in more than 200 countries and territories. The company's pep+ strategic framework places sustainability and long-term shareholder value creation at the center of its operating model, areas where Duato's experience overseeing a science-driven, compliance-intensive global enterprise is expected to add board-level depth.
