The Numbers
The Wendy's Company (Nasdaq: WEN) reported third-quarter 2026 net income of $15.1 million, down 65.9% from $44.3 million in the year-ago period, as a sharp decline in domestic customer traffic overwhelmed modest international gains. Total reported revenues slipped 0.5% to $547.0 million, while global systemwide sales fell 5.9% to approximately $3.3 billion on a constant-currency basis. Adjusted EBITDA contracted 17.8% to $113.4 million, against $138.0 million in Q3 2025. Diluted earnings per share came in at $0.08, compared with $0.23 a year earlier; on an adjusted basis, EPS was $0.13 versus $0.24.
U.S. same-restaurant sales declined 5.7% in the quarter, an acceleration of the 4.7% drop recorded in the prior-year period, driven primarily by lower traffic counts, labor-rate inflation, and commodity cost pressure. U.S. systemwide sales fell 7.6% to $2.8 billion. International markets provided a partial offset — international same-restaurant sales decreased 2.2% but international systemwide sales grew 3.5% to $549.4 million, reflecting continued unit expansion abroad, where the net restaurant count rose by 27 locations in the quarter. Domestically, the net U.S. restaurant count contracted by 13, bringing the total system to 7,194 units at quarter-end, down from 7,363 a year ago. General and administrative expense jumped 26.3% to $73.1 million, reflecting strategic-initiative costs and reorganization charges tied to the company's portfolio optimization effort, which weighed heavily on operating profit — down 39.3% to $55.8 million.
Dave's Way Strategy
Against that backdrop, management launched Dave's Way, a multi-year framework organized around five strategic pillars aimed at rebuilding domestic traffic and strengthening franchisee unit economics. Early initiatives include menu enhancement testing, improvements to marketing execution, and acceleration of Wendy's digital commerce business. The company also revised its breakfast daypart strategy to a location-specific model — a decision management said test results support and which could unlock up to $200 million in restaurant-level EBITDA across the system by reducing low-return overhead. Chief Financial Officer Steve Cirulis said the company holds approximately $413 million in cash and $174.2 million in year-to-date free cash flow — down 10.9% from $195.6 million in the same nine-month period of 2025 — to fund the program. "We believe this approach balances meaningful investment in the business with a disciplined focus on returns and long-term value creation," Cirulis said.
Portfolio Moves and Outlook
A key structural element of Dave's Way involves reordering the franchise operator base through targeted acquisitions and transfers to well-capitalized franchisees. The company has signed a letter of intent to acquire up to 163 Wendy's restaurants from Meritage Hospitality Group, subject to a definitive agreement, higher competing offers, and court approval. Meritage is also exploring the sale or recapitalization of its other markets. The move reflects a broader quick-service restaurant industry trend of parent companies stepping in to absorb distressed or underperforming franchise clusters in order to stabilize brand metrics before refranchising to stronger operators. Wendy's appointed Tariq Hassan as Chief Marketing and Customer Growth Officer to lead the consumer-facing recovery effort. The company declared a quarterly dividend of $0.07 per share, payable December 15, 2026, to shareholders of record as of December 1, 2026. No share repurchases were made during Q3 2026, and approximately $35.0 million remains under the existing buyback authorization expiring February 2027.
